For ISIN activation, a private company should prepare documents covering legal existence, board authority, authorised signatories, share-capital records, security-class terms, RTA appointment, depository onboarding, financial statements and any capital-change filings. The exact pack should be confirmed with the chosen depository, RTA and professional advisers before submission.

Why The Document Pack Matters
ISIN activation is not only about creating a securities code. The depository and RTA workflow needs to confirm who the issuer is, which securities are being admitted, who is authorised to sign, whether capital records are consistent and whether the company has the governance authority to proceed.
NSDL’s issuer onboarding route for unlisted public and private companies includes issuer and securities admission, document upload, verification, signed consolidated documents, RTA confirmation and fee payment. That means document readiness should be planned before the board expects the ISIN process to move.
Applicability And Key Dates
The document pack should begin with the company’s dematerialisation basis. If Rule 9B applies, the board note should record the classification analysis and timeline. The 30 June 2025 extension for certain non-producer private companies is already a past date as of 24 July 2026, so non-compliant companies should treat the file as remediation and evidence creation.
If the company is a producer company, has recently ceased to be a small company, or has unusual security terms, the document checklist should include a separate legal review note before the RTA/depository submission.

Documents And Process
The company should first prepare an internal index of documents, then mark each item as available, pending, inconsistent or requiring legal review. This index should be controlled by the company secretary or authorised officer, with RTA support for record reconciliation and depository coordination.
If documents contain PAN, bank, signature, address, KYC or shareholder-sensitive information, the company should use secure intake and controlled access. Readers should not be asked to send OTPs, passwords, unmasked bank credentials, signatures or complete KYC packets through ordinary email.
Common Errors
The first error is sending documents before reconciling capital records. If share certificates, register of members, allotment records and financial statements do not align, verification queries can delay the file.
The second error is treating all securities as one class. Equity shares, preference shares, debentures and securities with different terms should be mapped separately before submission.
The third error is keeping the document pack only with one person. The board, company secretary, finance team and RTA should have a controlled evidence trail so that future PAS-6, transfer, transmission or corporate-action work does not start from scratch.
